ConstructHUB Subscription Agreement

Effective Date: January 1, 2025

1. Introduction

This Subscription Agreement (“Agreement”) is made between ConstructHUB (“we,” “us,” or “our”) and the subscriber (“you” or “Subscriber”). By purchasing a subscription and using ConstructHUB’s services, you agree to the terms outlined below.

2. Subscription Plans & Services

• ConstructHUB offers multiple subscription tiers with varying levels of access to features, data, and tools.
• The first phase of subscription access is the BETA Membership, which allows early adopters to use platform features before the official tiered plans are introduced.
• BETA members may experience limited functionality, ongoing updates, and temporary disruptions as new features are tested and refined.
• Feedback from BETA members is encouraged and may influence the development of final membership tiers.
• Once tiered memberships are launched, BETA members may receive exclusive benefits, discounted rates, or priority access to advanced features.
• Your subscription grants you non-transferable, limited access to ConstructHUB’s platform and services.
• Subscriptions are subject to change, with prior notice of modifications.
• Any data entered or submitted to ConstructHUB as part of the subscription services becomes the property of ConstructHUB and may be used, stored, or analyzed by ConstructHUB in accordance with its policies.

3. Payment & Billing

• Subscription fees are billed monthly or annually based on your chosen plan.
• Payments are non-refundable unless explicitly stated otherwise.
• ConstructHUB reserves the right to modify pricing with prior notice.

4. Cancellations & Refunds

• Subscribers may cancel their subscription at any time, but access will continue until the end of the billing period.
• No refunds are provided for partial use of a subscription.

5. Data Use & Privacy

• ConstructHUB collects and processes usage data to improve platform performance.
• Personal data is protected in accordance with our Privacy Policy.
• Anonymized data may be used to provide industry insights for premium users.
• ConstructHUB will notify users within **72 hours** in the event of a data breach.

6. Indemnification

You agree to indemnify and hold ConstructHUB, its officers, employees, and affiliates harmless from any claims, losses, liabilities, or expenses arising from:

• Your use of ConstructHUB’s platform and services.
• Any inaccuracies in submitted bid data.
• Unauthorized use of another company’s proprietary data.
• Violation of these terms.

7. Modifications to this Agreement

ConstructHUB reserves the right to modify this Agreement at any time without prior notification. Continued use of the platform following any changes constitutes acceptance of the modified Agreement.

8. No Warranty & Limitation of Liability

ConstructHUB provides its services "as is" and "as available" without any warranties of any kind, either express or implied. ConstructHUB does not guarantee that:

• The platform will always be available, uninterrupted, or error-free.
• Bid data accuracy is guaranteed.
• Services will meet every user's specific requirements.

ConstructHUB is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of its platform.

9. Dispute Resolution

• Any disputes will be resolved through negotiation and mediation first.
• Binding arbitration will be used if disputes cannot be resolved through mediation.
